Lois is a solicitor in the Commercial team.

Lois acts for a wide range of clients from start-ups to large multi-national companies across a range of sectors, advising on company and commercial law.

Having completed a number of secondments within the in-house legal teams of clients, including an international manufacturing company, a major water services provider, a well-known telecoms company and an established challenger bank, Lois has gained hands on experience of working alongside a variety of commercial teams including procurement, operations and finance teams.

This significant industry experience means that Lois is able to provide advice which is commercially focussed and pragmatic, and tailored to her clients.

Experience

Lois has significant experience in drafting, reviewing and negotiating commercial contracts including terms and conditions, supply of goods and services agreements, software and SaaS contracts, manufacturing agreements, and distribution and agency agreements.

Lois also acts in relation to corporate governance matters including preparing and advising on shareholders’ agreements, share purchase and share buyback agreements, company articles of association, and board and shareholder issues.

Matters which Lois has worked on include:

  • Drafting and negotiating a large number of contracts under tight timescales as part of a facilities management project for a major utility company
  • Providing advice to an international brand regarding their commercial agency and distribution model, including in regard to the potential termination of commercial agencies and franchise agreements involving cross-border concerns
  • Advising on and preparing documents for a US listed client in relation to the UK elements of a group restructure, including share reorganisation, transfers and buybacks
  • Advising a multinational manufacturing client on and preparing documents relating to slavery and human trafficking laws, including modern slavery statements and anti-slavery and human trafficking policies
