Laura is a solicitor advising private and public sector clients on a wide variety of commercial issues.
Laura undertakes a broad range of public sector connected work, including the provision of constitutional, EU public procurement and contracting-related advice.
She is familiar with many standard contracts and frequently reviews, drafts and negotiates bespoke contractual documents dealing with, for example:
- provision of goods / services;
- strategic alliance arrangements;
- commercial / procurement hub arrangements.
She has also advised on company law matters, company secretarial and governance issues, shareholders’ agreements and minority shareholder protection, terms and conditions, agency arrangements, e-commerce, grant funding arrangements and company start-ups, to private and quasi-public / third sector clients.
Laura is experienced in advising on most aspects of EU public procurement law, and advises contracting authorities (including NHS Clinical Commissioning Groups, NHS Foundation Trusts, NHS Trust, local authority and transportation clients) and suppliers (both public and private sector) on process and, increasingly, challenges to procurements.
She has assisted a local authority in relation to complex procurements, involving multiple lots, using the competitive dialogue procedure.
Laura also provides advice on joint tendering arrangements, including the preparation of all necessary documentation.
She advises NHS Foundation Trusts and local authority clients on trading subsidiary and joint venture company structures.
She advises NHS Foundation Trusts in connection with their hosting arrangements and structure as procurement hubs, and has advised in relation to the acquisition of a commercial procurement hub.
Laura was recently seconded to an NHS Foundation Trust following its successful bid to provide mental health and learning disability services under an NHS Clinical Commissioning Group commissioning contract, and provided advice in relation to due diligence and commercial contractual issues linked to the “second generation” transfer of services from the incumbent provider.
She has also undertaken two procurement-related secondments: at an NHS procurement hub, and at a regional development agency.
Constitutional and Trading Arrangements
Laura regularly provides advice to NHS Foundation Trusts on issues concerning their constitutional arrangements, both on the interpretation and effect of the constitution and other governing documents, and on revisions to reflect changing priorities/circumstances and policy/legislation.
PFI / NHS LIFT
She has advised primary care trusts and local authorities on commercial aspects of NHS LIFT projects and has worked on several major PFI transactions, both during the procurement and the operational phases.
Laura has also acted for a local authority in relation to its BSF scheme, which included the provision of a primary school and a number of academies.
She has also advised a voluntary aided school governing body in relation to the establishment of a soft federation arrangement governing a shared sixth form centre.
