Natalie is a Partner in our social housing property team. She has 20 years of real estate experience and has been working with not for profit and for profit Registered Providers in both property securitisation and tenanted portfolio disposal and acquisition for the last 17 of those years.

Natalie specialises in advising Registered Providers in various methods of securing finance including bond issues, private placements, traditional bank funding, security trust arrangements and valuation uplifts. Transactional securitisation work also includes releases of charges, re-allocation of loans and review of finance documentation to support funding.

Natalie also advises strategically on the best use of a Registered Provider’s assets and often provides “getting ready to charge” advice which enables the Registered Provider to maximise their assets and achieve the best possible valuation in a security exercise. This advice regularly involves advising on title, planning, nominations, grant agreements and project agreements and providing solutions to any factors which may cause delay or a restriction on value when charging or disposing of the properties.

In addition, Natalie acts on large portfolio stock rationalisation between Registered Providers on both disposal and acquisition side, including stock swaps, LSVT’s and shared ownership reversionary interest portfolios.

Natalie has experience of:

  • Acting for a Midlands based Registered Provider in the getting ready to charge and subsequent charging on almost 1000 units with some being charged to a security trustee to hold unallocated and some to the Affordable Homes Guarantee Scheme totalling funding of £75m. The properties had a variety of issues to be solved before they were suitable for charging including varying mortgagee exclusion clauses in transfer deeds and in planning documents and removing incorrectly drafted restrictions on title.
  • Advising Orbit Group over the past 10 years on treasury matters including releases, re-allocation of stock, new direct charging and two bond issues.
  • Acting for Chelmer Housing Partnership in the acquisition of 570 tenanted affordable rent and shared ownership properties from another large London based Registered Provider for circa £60m. Many of the homes in this portfolio were still within their defects liability period and specialist construction advice was provided.
  • Acting for Orbit Group in the disposal of circa 250 affordable rent and shared ownership tenanted properties to B3 Living subject to grant funding transfer and variation of local authority nominations agreements.
  • Acting for Blenheim Estate Homes in the disposal of 75 affordable rent and shared ownership properties to a For-profit Registered Provider where all homes were newly constructed.
  • Acted for ReSI Homes Limited, a for-profit Registered Provider, in the acquisition of 469 tenanted shared ownership properties valued at £46m from Ocean Housing.
