We’ve written the book on dealmaking – again | 19 April 11
ONE of the North’s top corporate lawyers has again put together the definitive dealmakers’ guide for UK law firms.
Robert Thompson (pictured), partner in the corporate department at Ward Hadaway, has edited a new edition of Sinclair on Warranties and Indemnities on Share and Asset Sales.
The book is widely viewed as the lawyers’ dealmaking bible and is consulted by law firms across the country when advising clients on buying and selling businesses.
The latest edition of the guide – the 8th – is the third consecutive edition to be edited by Mr Thompson.
The book also features expert contributions from other Ward Hadaway lawyers on areas including tax, pensions, property, employment, IT, data protection and insolvency.
Robert Thompson said: “The fact that Ward Hadaway has been chosen for the third time to edit this guide demonstrates the high regard which the publishers have for the firm’s legal ability and expertise.
“We very much practise what we preach by ensuring our clients benefit from this substantial expertise when undertaking complex multi-million pound deals and also in relation to smaller local deals since the expertise enables us to cut through to the essentials, thereby saving clients both valuable time and unnecessary expense.
“This is the main text that corporate lawyers use when they’re working on a deal – it’s the standard industry textbook."
Robert Thompson’s team has advised on a number of major deals over the past year, many of them involving an international dimension.
Some of the locally based deals include the acquisition of three manufacturing sites in Europe by Newcastle-based Aesica Pharmaceuticals Limited and the sale of Morpeth-based engineering company Baric Systems to the New York Stock Exchange-listed Colfax Corporation.
The team is also working on an investment deal worth several hundred million dollars into a UK company for a Europe-based international commodities manufacturer and supplier.
Speaking about the 8th edition of Sinclair on Warranties and Indemnities on Share and Asset Sales, John Pacione, Commissioning Editor at Sweet & Maxwell, said: “Sinclair on Warranties is a key title in Sweet and Maxwell’s Commercial Series - we are therefore very pleased it is in such expert hands at Ward Hadaway.
“Over the previous three editions, Ward Hadaway have put their stamp on the content: tailoring the commentary to the needs of the intended readership; keeping abreast of current practice; covering the impact and implications of recent legislation; even anticipating the implementation of forthcoming legislation, e.g. in this new edition, the Bribery Act. All this contributes to the ongoing success of the book.
“At Sweet and Maxwell we very much look forward to working with Ward Hadaway in sustaining and enhancing this success long into the future.”
